Four regulatory layers — FBA is the critical one.
VAT
Thailand's VAT rate is 7% (below the standard 10%, under a temporary reduction that has been repeatedly extended). All commercial imports above THB 1,500 are subject to VAT at import. Cross-border e-commerce orders (C2C threshold) are under review by the Revenue Department. TNGAP's clients import as commercial B2B shipments through Singapore IOR, meaning standard 7% VAT applies — no regulatory uncertainty. Import duty rates vary by HS code: 0-30% for Japanese goods, with ASEAN FTA preferential rates reducing most categories to 0-5%.
Thai Customs / DGFT
Thailand's Customs Department administers the Thai Customs Tariff Schedule. Import declarations are filed through e-Customs. Customs clearance for Singapore-origin (re-export) shipments requires ASEAN Form D certification and Certificate of Origin from Singapore Customs. TNGAP's carrier partners — including Nippon Express SG and Kintetsu World Express — are licensed to handle Thailand re-export customs documentation. Affected HS code categories for Japanese goods include: cosmetics (HS 33), food supplements (HS 21), electronics (HS 85), and machinery (HS 84).
FBA / Alien Business License
The Foreign Business Act (FBA) classifies restricted business activities in three lists. List 3 — the most commercially relevant — now includes distribution of goods, wholesale trade, and certain retail and logistics activities following the June 2026 expansion. Japanese brands wishing to establish a Thai subsidiary that actively distributes goods must obtain an Alien Business License (ABL) from DBD. The ABL process takes 60-90 days and requires demonstration of Thai economic benefit, minimum capital of THB 3 million, and employment of Thai nationals at a 4:1 Thai-to-foreign ratio. TNGAP's Singapore IOR re-export model bypasses ABL entirely — the distribution activity remains with Thai local partners, not the Japanese brand.
PDPA Thailand
Thailand's Personal Data Protection Act (PDPA) has been fully enforced since June 2022. For Japanese brands selling through Shopee TH, Lazada TH, and TikTok Shop TH, the platform handles PDPA compliance for consumer data collected at point of sale. However, brands that collect consumer data independently (email lists, loyalty programs) must ensure PDPA-compliant data handling. TNGAP's compliance framework covers PDPA requirements for data collected through TNGAP-managed marketplace accounts.
Thailand's three-tier marketplace — what's different.
Shopee TH
Shopee TH has 60%+ market share in Thai e-commerce. Japanese cosmetics, beauty tools, and household goods perform strongly through Shopee Guaranteed Authentic program. IOR requirement: Shopee TH requires either a Thailand-registered company or a foreign entity with appointed Thai local representative. TNGAP's certified local partner network provides the Thai local representative function. Shopee Live (livestream) is particularly effective for Japanese beauty product demos — TNGAP provides Thai-language support for livestream content.
Lazada TH
Lazada TH is strong in electronics, home goods, and sports equipment — sectors where Japanese brands have strong competitive differentiation. LazMall TH operates similarly to LazMall SG: brand flagship stores with enhanced discoverability and buyer trust signals. TNGAP's Pro Plan includes LazMall TH application support. Customs clearance timelines for Lazada TH's fulfillment network: 3-5 business days for Singapore re-export shipments.
TikTok Shop TH
TikTok Shop TH has grown at 340% year-on-year since 2024. Thai consumers aged 18-35 discover Japanese brands primarily through TikTok-native content. Brands with authentic Japanese brand stories — heritage manufacturers, artisan brands, regional specialty foods — see particularly strong TikTok TH performance. TNGAP's Pro Plan includes TikTok Shop TH setup and local Thai creator partnership introduction. IOR requirement: Thai Ministry of Commerce registered entity or appointed local partner.
Phase 1 Extended — Month 3 onward. Pro tier recommended.
Thailand requires additional preparation time compared to Singapore and Malaysia. The recommended sequence: Month 1-2: Singapore IOR activation and Malaysia entry (build operational history). Month 3: Thailand entry initiated — Thai customs broker engaged, re-export structure documented, local representative agreements signed. Month 4-5: First Thailand shipment cleared. Month 5-6: Shopee TH and TikTok Shop TH listing live. Pro Plan is required for Thailand: Standard Plan does not include the Thai local representative coordination layer.
Thai industrial buyers reached in 12 weeks. No Thai subsidiary. No nominee director.
Challenge
Osaka-based machine tool manufacturer, 80 employees, established 1972. Had previously used a Thai nominee director structure for distribution — unwound in Q1 2026 following DBD enforcement. Needed a compliant Thailand market route without rebuilding a Thai entity.
Result
First Thai industrial buyer shipment completed in Week 12. No customs holds. Zero ABL or nominee director exposure. Month 6 revenue: JPY 8.2 million from Thai buyers directly.
Reaching Thai industrial buyers without a local office was the deciding factor. We couldn't justify a Thai subsidiary at this scale.
